General Terms and Conditions of Sale and Use (GTC) for the Parapluie Service
1. Purpose
The purpose of these General Terms and Conditions of Sale and Use (hereinafter the “GTCU”) is to define the terms and conditions governing the sale, management, and use of the Parapluie service, offered by the Mouvement des Accélérateurs d’Innovation du Québec (hereinafter “MAIN” or “we”).
The Terms of Service constitute a legally binding contract between MAIN and any natural person of legal age (over 18 years of age) or legal entity subscribing to the Parapluie service (hereinafter the “User” or “you”).
2. Description of Services
Parapluie is a service that allows Users to enjoy:
A. Health and Support Services
- Primary Care (Telemedicine)
Unlimited access to a qualified medical team via phone or app for a wide range of non-urgent health issues. - Mental Health Support & Employee Assistance Program (EAP)
Access to professional services (psychologists, psychosocial support, etc.).
In this context, MAIN acts as an intermediary for services provided by independent partners (such as Dialogue). MAIN is not a medical provider and does not provide any medical care.
B. Resources on the MAIN Portal
- Referrals to programs and experts
- Access to relevant training, educational content, and events
MAIN manages these resources; their content is provided for guidance only.
3. Terms and Conditions for Access to Services
As mentioned above, the purchase of Parapluie grants the User, among other things, the right to access the Dialogue platform, subject to the following conditions:
- the User’s creation of their own Dialogue account;
- the User's acceptance of Dialogue's terms of use, privacy policies, and consent forms.
It is expressly understood that MAIN is in no way a party to the contractual terms agreed upon between the User and Dialogue.
Any claims related to medical services, mental health support, or the Employee Assistance Program (EAP) must be submitted directly to Dialogue, in accordance with their terms and conditions.
4. Duration and Financial Terms
The Parapluie subscription will begin on the date the User registers on the Dialogue platform and will remain in effect for a period of 12 months (hereinafter the "Subscription Term"). Upon expiration of the Subscription Term, the subscription may be automatically renewed for successive one-year periods, unless terminated in accordance with Section 7 hereof.
The pricing and billing terms for the Parapluie subscription are specified at the time of sign-up.
5. Confidentiality and Personal Information
MAIN collects and processes only the data strictly necessary for managing the Parapluie service, including: your name, contact information, email address, and billing information.
Your information is protected in accordance with MAIN’s Privacy Policy and applicable legal requirements, including Quebec’s Act 25 on the Protection of Personal Information.
MAIN does not collect, process, or host any of the User’s health data or medical information. Furthermore, MAIN has no access to medical data or the content of consultations.
6. Responsibilities and Limitations
It is important to note that MAIN does not provide medical care or professional advice and therefore cannot be held liable:
- the quality, availability, or continuity of the services provided by its partners and external service providers. The latter remain entirely
- accountable for their actions and decisions;
- the content of consultations, advice, or treatments provided by partner healthcare professionals;
- clinical results or any decision made by an external provider;
- for any direct or indirect damage resulting from the use of the services provided by its external partners.
7. Suspension and Termination
7.1 Termination by the User
Unless otherwise required by law, the User may terminate their access to Parapluie at any time; provided that any termination will take effect at the end of the current subscription period, with no refund of amounts already paid by the User.
7.2 Termination by MAIN
MAIN reserves the right to suspend or terminate access to the Parapluie service, with immediate effect or upon expiration, in the event of:
- the User’s failure to comply with these Terms of Use;
- fraud, misuse, or abuse of the service;
- failure to pay amounts due.
Furthermore, the User acknowledges and agrees that access to remote healthcare services is subject to a separate agreement between MAIN and each of its partners.
In the event of termination, non-renewal, or interruption of any of these agreements, for any reason whatsoever, MAIN may terminate all or part of the Parapluie service related to the access affected by such termination, provided that it notifies the User within a reasonable time.MAIN shall not be held liable for any consequences resulting from the termination of an agreement between MAIN and one of its external partners, including any interruption of telehealth services. Unless otherwise required by law, the termination or interruption of such an agreement shall not give rise to any refund to the User.
8. Amendment
MAIN reserves the right to modify these Terms of Use at any time. Users will be notified of any substantial changes.
9. Applicable Law
These terms and conditions are governed by the laws of the Province of Quebec and the applicable laws of Canada. Any dispute regarding the interpretation of these Terms of Use or their enforcement falls under the exclusive jurisdiction of the courts of Montreal.
